1. Acceptance of Terms

By accessing the website at guks.in ("Service," "Platform"), or by purchasing any AI automation, graphic design, or video editing services from Guks Intelligent Automation ("Company," "We," "Us"), you agree to be bound by these Terms of Service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws.

If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this website are protected by applicable copyright and trademark law.

2. Description of Services

Guks provides digital services including but not limited to:

  • AI Chatbot Integration: Custom-trained neural chatbots for customer support and sales.
  • Graphic Design: Creation of visual assets, logos, UI/UX designs, and marketing materials.
  • Video Editing: Post-production services for short-form and long-form video content.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. Billing, Payments & Promotional Offers

3.1 Standard Billing: Services are billed in advance on a monthly or annual basis, depending on the plan selected. Payment obligations are non-cancelable and fees paid are non-refundable except as provided in our Refund Policy.

3.2 Free Trial & Automatic Renewal

In the event that Guks provides the Client with a One (1) Month Free Service Period (or any other duration of "Free Trial") as part of a promotional offer, the Client explicitly acknowledges and agrees to the following:

  • Automatic Conversion: The "Free Month" is strictly limited to 30 calendar days. Upon the expiration of this period, the subscription will automatically convert into a paid monthly subscription at the standard rate applicable at that time.
  • Mandatory Payment: By accepting the free service month, you agree that starting from the first day of the second month, you are liable to pay the full subscription fee.
  • Cancellation Requirement: If you do not wish to be charged for the subsequent month, you must cancel the service before the free month expires (i.e., before day 30). Failure to cancel constitutes an explicit agreement to continue the service as a paid client.

3.3 Late Payments: Failure to pay the invoice for the month following a free trial will result in immediate suspension of services, including the deactivation of any active AI chatbots or withholding of design assets.

4. Intellectual Property Rights

4.1 Client Ownership: Upon full payment, the Client owns the rights to the final specific deliverables (e.g., the final video file, the final logo PNG).

4.2 Guks Ownership: Guks retains all rights to the underlying code, AI models, prompts, pre-existing libraries, tools, and methodologies used to create the deliverables. The Client receives a non-exclusive, non-transferable license to use these underlying technologies solely for their business operations.

5. User Obligations

As a user of our services, you agree not to:

  • Use the AI Chatbots to generate hate speech, illegal content, or facilitate fraud.
  • Reverse engineer any part of the Guks platform or software.
  • Share your account credentials with unauthorized third parties.

Violation of these obligations may result in immediate termination of your account without refund.

6. Limitation of Liability

In no event shall Guks, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of New Delhi, India, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
